PLEASE READ CAREFULLY: THE INDIVIDUAL ACCESSING THESE TERMS (“YOU”, “YOUR” OR, “PARTNER REPRESENTATIVE”) MUST ACCEPT THESE CROWDSTRIKE CROWDCARD PROGRAM TERMS OF USE (“CROWDCARD PROGRAM TERMS”) BEFORE ACCESSING THE CROWDCARD WEBSITE. BY CLICKING OR CHECKING A BOX, YOU ACCEPT THESE TERMS AND CONDITIONS, WHICH WILL BE DEEMED A BINDING CONTRACT BETWEEN YOU AND CROWDSTRIKE, INC. ON BEHALF OF ITSELF AND ANY AFFILIATES PERFORMING HEREUNDER (COLLECTIVELY, “CROWDSTRIKE”). THE FOLLOWING CROWDCARD PROGRAM TERMS TOGETHER WITH THE APPLICABLE PROMOTION DOCUMENTATION CONTAIN MANDATORY TERMS FOR YOUR ACCESS TO THE CROWDCARD WEBSITE AND PARTICIPATION IN THE CROWDSTRIKE PARTNER INCENTIVE PROGRAM ADMINISTERED VIA THE CROWDCARD WEBSITE (“CROWDCARD PROGRAM”). IF YOU DO NOT AGREE TO OR CANNOT COMPLY WITH ALL CROWDCARD PROGRAM TERMS, THEN DO NOT ACCEPT THESE TERMS AND YOU WILL NOT BE AUTHORIZED TO ACCESS OR USE THE CROWDCARD WEBSITE OR CROWDCARD PROGRAM. CROWDSTRIKE RESERVES THE RIGHT TO IMPLEMENT AND ALTER THESE CROWDCARD PROGRAM TERMS, THE CROWDCARD PROGRAM, AND PROMOTION DOCUMENTATION AT ITS SOLE DISCRETION, AT ANY TIME, INCLUDING, WITHOUT LIMITATION, MODIFYING THE REWARDS, REWARD REDEMPTION VALUES, AND THE CONDITIONS OF PARTICIPATION BY POSTING UPDATED NOTICE OF SUCH CHANGES ON THE CROWDCARD WEBSITE.
“Corporate Participant” means a Partner that accumulates CrowdCard Points at the Partner level and whose employees do not accumulate CrowdCard Points individually.
“CrowdCard” means a reloadable prepaid debit card issued by the CrowdCard Issuer and is subject to terms and conditions of the CrowdCard Issuer.
“CrowdCard Issuer” means the third party engaged by the CrowdCard Vendor to facilitate the issuance and management of prepaid debit cards under the CrowdCard Program. As of August 2023 the CrowdCard Issuer is Onbe.
“CrowdCard Point(s)” means a point awarded to CrowdCard Program Participants for participation in and successful completion of promotional objectives detailed in a CrowdStrike Promotion. CrowdCard Points are not transferable.
"CrowdCard Vendor” means the third party engaged by CrowdStrike to administer the CrowdCard Program and calculate and distribute CrowdCard Program incentives. As of August 2023 the CrowdCard Vendor is 360insights Ltd.(Canada).
“CrowdCard Website” means the website at www.crowdcard.crowdstrike.com
“Custom Reward(s)” means a valuable item, other than a CrowdCard or CrowdCard funds, that Participants may redeem CrowdCard Points for on the CrowdCard Website, including experiences, tangible gifts, digital media, gift certificates and gift cards (in physical or electronic form), vouchers, and other prizes.
“Employee Participant” means an employee that accumulates CrowdCard Points individually.
“Participant(s)” means Corporate Participant and Employee Participant.
“Partner” means Your current employer who has a valid partner agreement with CrowdStrike,
“Partner Administrator” means the individual, with authority to make decisions on behalf of the Partner and all Partner Representatives, including without limitation (i) the authority to opt Partner in and out of the CardCard Program and Promotions; and (ii) the authority to determine how Partner will accumulate and allocate CrowdCard Points and whether Partner employees will participate as Employee Participants or Partner will participate as a Corporate Participate.
“Promotion(s)” means the CrowdStrike sponsored partner sales incentive promotion pursuant to which eligible Partner employees can complete identified objectives to earn CrowdCard Points.
“Promotion Documentation” means the documentation posted on the CrowdCard Website that lists the specific rules for Promotions, including, without limitation, participant eligibility criteria, qualified sales activity criteria, and incentive eligibility and calculation details.
“Public Sector” means any state, local and federal government agencies; government-owned or government-controlled entities (e.g., a public university, hospital, or utility) political parties; and multilateral organizations (e.g. United Nations, World Bank Group).
“Reward(s)” means CrowdCards and CrowdCard funds, and Custom Rewards.
Eligibility to participate in specific Promotions is based on Partner’s tier, standing, geographic location, and other factors, as specified in the Promotion Documentation. CrowdStrike will determine eligibility for Promotions in its sole discretion. Notwithstanding any other provisions of this Agreement, You are not entitled to any CrowdCard Points or permitted to participate in any Promotions if such participation is disallowed or limited by (i) applicable federal, state or local law or regulation; (ii) Your Partner’s policies, or (iii) an applicable prospect company or customer, whether by agreement, policy, law, or otherwise. You represent that: (a) You are eligible, under Your Partner’s policies, these CrowdCard Program Terms, and applicable law, to participate in the CrowdCard Program, (b) participation in the CrowdCard Program does not create an incentive or preference which may constitute a breach of applicable law or of Your or Partner’s obligations to any prospect, customer, or other third-party, including without limitation any obligation that You or Partner have to provide government end-users with neutral advice and recommendations; (c) You have received approval from Partner to participate in the CrowdCard Program; and that Partner’s policies permit Your receipt of Rewards directly from CrowdStrike in connection with applicable Promotions; and (d) are at least 18 years old.
To participate in the CrowdCard Program, visit the CrowdCard Website, accurately and truthfully complete the online registration, provide the requested information, and follow any other instructions or requirements listed on the CrowdCard Website. Creation or use of multiple accounts for registration or participation in the CrowdCard Program is prohibited.
If You are a Partner Administrator You: (i) may opt Partner out of participation in specific Promotions by emailing: [email protected], (ii) may notify CrowdStrike that Your Partner will participate as a Corporate Participant by emailing:[email protected], and (iii) represent and warrant that You have the authority to make these decisions on behalf of Partner and all other Partner employees that otherwise would be eligible to participate in the CrowdCard Program. Unless a Partner’s Partner Administrator notifies CrowdStrike that Partner will participate as a Corporate Participant or opts out of a Promotion, Partner’s employees will be permitted to participate in the CrowdStrike Program and eligible Promotions as Employee Participants. You are not eligible to participate as an Employee Participant if your Partner Administrator has notified CrowdStrike that Partner is a Corporate Participant or to participate in Promotions that your Partner Administrator has opted out of.
You may be able to participate in Promotions where you are eligible to earn CrowdCard Points individually or on behalf of Partner that can be redeemed for Reward(s). You represent that You will only participate in Promotions for which you meet all eligibility criteria, including residing in one of the countries listed as eligible for the Promotion(s) that you participate in, as specified in the Promotion Documentation.
CrowdCard Points will be awarded in CrowdStrike’s sole discretion subject to all Promotion elements being achieved in accordance with the Promotion Documentation. Once all Promotion elements are achieved, CrowdStrike will notify the CrowdCard Vendor of such achievement and will instruct the CrowdCard Vendor to award earned CrowdCard Points to Your CrowdCard Account. Earned CrowdCard Points do not constitute remuneration for employment.
Earned CrowdCard Points will accrue in an individual account for Employee Participants and in a Partner Account for Corporate Participants (“CrowdCard Account”). You may not pool, transfer or otherwise combine CrowdCard Points with any other individual or entity outside of your Partner organization. CrowdCard Points may not be assigned, transferred, or pledged for any purpose whatsoever and are not subject, in whole or in part, to attachment, execution or levy of any kind. Any attempted assignment, transfer outside of your Partner organization, pledge, or encumbrance of CrowdCard Points, shall be void and of no effect.
CrowdCard Points may only be redeemed via the CrowdCard Website. CrowdCard Points are not redeemable for cash or other monetary consideration and are not Your property. CrowdCard Points automatically expire twelve (12) months from the date of the last activity in Your CrowdCard Account as tracked by the CrowdCard Vendor. You may view Your accrued CrowdCard Point balance and prior Reward redemptions associated with your CrowdCard Account on the CrowdCard Website.
CrowdStrike may immediately revoke accrued CrowdCard Points and terminate Your participation in the CrowdCard Program, at any time at its sole discretion including but not limited to instances when You: (i) fail to comply with these CrowdCard Program Terms or any other agreement with CrowdStrike, (ii) engage in fraudulent, deceptive, or surreptitious activity related to the CrowdCard Program, or (iii) are no longer employed by Partner.
If CrowdStrike ends the CrowdCard Program, CrowdStrike will provide You with notice of the cessation of the CrowdCard Program, and You will have thirty (30) days from the date the CrowdCard Program has ended to redeem the remaining CrowdCard Points in Your CrowdCard Account. If You do not redeem the remaining CrowdCard Points within this time period, the remaining CrowdCard Points in Your CrowdCard Account expire.
REDEMPTION OF CROWDCARD POINTS
Earned CrowdCard Points may be exchanged for Rewards based on applicable law, availability of Rewards, and Your Partner’s internal policies. Rewards can only be obtained by using CrowdCard Points. You may not combine cash, checks, bank deposits or any other kind of payment with CrowdCard Points to redeem for a Reward. Reward selections, once chosen are final and may not be changed. Rewards are not returnable and non-refundable. Rewards are administered by the CrowdCard Vendor and CrowdStike disclaims any responsibility for Rewards You have chosen. If You are unable to participate in or accept a Reward or any portion of a Reward for any reason, CrowdStrike shall have no further obligation to You. You must report any Reward order disputes as early as possible. Neither CrowdStrike, nor the CrowdCard Vendor nor its suppliers accept any liability to You in respect of any such dispute raised more than thirty (30) days from the date of Reward redemption.
CrowdCards and CrowdCard funds. CrowdCard Points may be redeemable for a CrowdCard and CrowdCard funds, at a rate determined by CrowdStrike, as may be updated from time to time.
CUSTOM REWARDS
CrowdCard Points may be redeemable for Custom Rewards, at the rates determined by CrowdStrike and as specified on the CrowdCard Website.
Data Collection. As part of the CrowdCard Program, You agree to submit all information requested by CrowdStrike, the CrowdCard Vendor, and the CrowdCard Issuer for purposes of tracking, verifying and otherwise administering the CrowdCard Program. You agree that information regarding your business with CrowdStrike and any information, including personal information you provide to CrowdStrike in connection with the CrowdCard Program may be accessed and used by CrowdStrike, the CrowdCard Vendor and it’s suppliers for any purpose related to the CrowdCard Program and you authorize such access and use.
Personal Information. Personal information collected by CrowdStrike and the CrowdCard Vendor in connection with the CrowdCard Program is treated in accordance with CrowdStrike’s Privacy Notice, located at: https://www.crowdstrike.com/privacy-notice/ (“Privacy Notice”). To learn more about the CrowdCard Vendor’s privacy practices: https://www.360insights.com/privacy-policy (“360 Insights Privacy Policy”). To learn more about the CrowdCard Issuer’s privacy practices: https://www.onbe.com/policy/privacy-notice (“Onbe Privacy Notice”).
You acknowledge that CrowdStrike, the CrowdCard Vendor, and the CrowdCard Issuer may process and store Your personal information in the course of administering the CrowdCard Program including sharing your information with regulators, authorities, or other third parties, including sharing Your personal and tax information with applicable taxing authorities.
In connection with the CrowdCard Program, You may receive trade secret, proprietary, or otherwise confidential CrowdStrike information. You shall hold such information as confidential and shall not use or permit others to use any trade secret, proprietary, or otherwise confidential information identified as such in writing or orally by CrowdStrike or information which you know or have reason to know is confidential, proprietary or trade secret information of CrowdStrike.
You acknowledge that CrowdStrike and its directors, employees, officers, suppliers, and any person of, or entity associated with, the administration of the CrowdCard Program including the CrowdCard Vendor and CrowdCard Issuer (collectively, the “Released Parties”) have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to any Reward or the CrowdCard Program. Apart from manufacturer warranties (which may not be available in all geographies), all warranties are hereby disclaimed; and all Rewards are provided “AS IS.” All costs and expenses, including support services, not specifically listed above as part of a Reward, are solely your responsibility.
CrowdStrike is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive submitted information by CrowdStrike on account of technical problems or traffic congestion on the Internet or the CrowdCard Website or any combination thereof. If for any reason the CrowdCard Website is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in CrowdStrike’s sole determination, corrupts or affects the administration, security, fairness, integrity, or proper conduct of the CrowdCard Program, CrowdStrike reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the CrowdCard Program.
LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE RELEASED PARTIES BE LIABLE TO YOU FOR: (A) ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING FROM BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY, WHETHER IN TORT OR CONTRACT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES OR SUCH DAMAGES OR LOSSES WERE REASONABLY FORESEEABLE; OR (B) FOR AN AGGREGATE AMOUNT THAT EXCEEDS ONE HUNDRED DOLLARS ($100).
By participating in the CrowdCard Program, You agree to indemnify, release, and hold harmless the Released Parties, from and against any and all rights, claims and causes of action whatsoever that You or any other individual or entity may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death and damage to property, arising in whole or in part, directly or indirectly, from Your acceptance, possession, use or misuse of a Reward, or Your participation in the CrowdCard Program.
To the extent any element of the CrowdCard Program (including amounts added to your CrowdCard and redeemed Rewards) is deemed taxable income or employee compensation under applicable law or regulation, You are solely responsible for Your compliance with any and all taxation requirements including, without limitation, reporting of income or compensation and payment of any resultant taxes. CrowdStrike has no responsibility for any taxation or reporting to any taxation authority and is not responsible for obtaining or providing any tax advice to You. You may obtain a summary of the Rewards you have redeemed and their stated value of such redeemed Reward through the CrowdCard Website. Notwithstanding the foregoing, in the United States and Canada, the CrowdCard Vendor may distribute 1099s or T4As, as applicable, to You and You agree to provide necessary information to the CrowdCard Vendor in a timely and accurate manner to permit the preparation of such forms.
You agree, represent, and warrant that: (i) Your participation in any Promotion and in the CrowdCard Program does not create an incentive or preference which may constitute a breach of applicable law or regulations, or any obligations, contractual or otherwise, to a Public Sector prospect, end-customer or other third-party; (ii) You will not directly or indirectly offer, promise, give, or authorize a payment, gift, or anything of value for the purpose of influencing an act or decision of an employee or official of any Public Sector entity (including a decision not to act) or inducing such a person to use such person’s influence to affect any such governmental act or decision in order to assist Partner, CrowdStrike, or any other individual or entity in obtaining, retaining, or directing business; (iii) You will fulfill all contractual and legal obligations with any Public Sector prospect or end-customer as it relates to participation in the CrowdCard Program; (iv) You are not assisting a Public Sector prospect or end-customer in the bidding or contract review process, nor do You have a contractual or other legal obligation to act as a trusted advisor, neutral assessor, or other consultant to the Public Sector prospect or end-customer; (v) You will comply with all applicable laws in relation to their participation in the CrowdCard Program, including, without limitation, all applicable anti-corruption, anti-bribery, and anti-fraud laws, including the United States Foreign Corrupt Practices Act and the United Kingdom Bribery Act, as well as the United States False Claims Act and Anti-Kickback Act; (vi) participation will not affect pricing provided to a Public Sector prospect or end-customer; (vii) You are not a government official nor employed by a government owned or controlled entity; (viii) are not on the U.S. Department of Treasury’s List of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Persons and Entity Lists; and (ix) have not been convicted of any offense involving bribery, corruption, fraud, or dishonesty.
You agree to comply at all times with CrowdStrike’s Website Terms of Use available at https://www.crowdstrike.com/website-terms-of-use/ and CrowdStrike’s Business Partner Standards available at https://www.crowdstrike.com/partners/partner-standards/.
Any concerns or violations of this section 10 should be reported immediately to [email protected] or via CrowdStrike’s online reporting channel crowdstrike.ethicspoint.com.
ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CROWDCARD WEBSITE OR TO CIRCUMVENT THE RULES OR INTERFERE WITH THE ADMINISTRATION OF THE CROWDCARD PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE CROWDCARD PROGRAM AND FORFEITURE OF ANY EARNED CROWDCARD POINTS.
CrowdStrike, the CrowdCard Vendor, and the CrowdCard Issuer each have the right to suspend Your CrowdCard and/or your participation in the CrowdCard Program in the event that: (i) they suspect misuse, fraudulent activity, breach of these CrowdCard Program Terms; (ii) they believe that there is a significant threat to the security, integrity, functionality, or availability of the CrowdCard Program or CrowdCard Website; (iii) You or Partner are in breach of the Partner Agreement, CrowdCard Program Terms, or Promotion Documentation; (iv) You have misrepresented or furnished any inaccurate information to CrowdStrike, the CrowdCard Vendor, or the CrowdCard Issuer; or (v) You are no longer employed by Partner. Neither CrowdStrike, the CrowdCard Vendor, nor the CrowdCard Issuer, will have any liability for direct or indirect losses as a result of suspension of the CrowdCard or Your participation in the CrowdCard Program. Upon the termination of Your participation in the CrowdCard Program all accrued CrowdCard Points in Your CrowdCard Account automatically expire as of termination.
CrowdStrike may discontinue the CrowdCard Program in its entirety for any reason or for no reason, at any time, by posting notice on the CrowdCard Website, Partner Portal, or via email to the email associated with Your CrowdCard Account.
Relationship. Nothing contained herein shall be construed as creating any (i) agency, partnership, employment, or other form of joint enterprise between You and CrowdStrike, or (ii) any direct or indirect contractual relationship between You and CrowdStrike.
Governing Law. The CrowdCard Program shall be governed in all respects by the laws of the State of California, without regard to its choice of law rules. Each party waives the right to litigate in court or an arbitration proceeding any dispute as a class action, either as a member of a class or as a representative, or to act as a private attorney general.
Audit. CrowdStrike reserves the right to audit and verify all CrowdCard Program incentive claims and request additional documentation prior to issuance of CrowdCard Points. Non-compliance with the guidelines and requirements outlined in this CrowdCard Program Terms can result in ineligibility for CrowdCard Points as determined by CrowdStrike in its sole discretion.
